Terms of Service

By accessing or using the Ledgerly service (the “Service”) operated by Delvir Limited Liability Company (“Ledgerly”, “we”, “our”, or “us”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

You must be at least 18 years old and a resident of the United States to use the Service. By using it, you represent and warrant that you meet these requirements.

Ledgerly helps you organize your own bank and card transactions. You upload transaction exports (CSV files) or, on paid plans where available, connect an account; Ledgerlysorts each transaction into a ledger, reconciles internal transfers, and suggests a spending category and a Schedule C tax line for each expense.

• Free plan.Uploading transaction exports and using your ledger, summaries, rules, and Schedule C tags is free.
• Paid plans (where offered).Paid subscription plans add automatic bank sync and related features, billed monthly through Stripe as described in Section 5.

Ledgerly only organizes and labels your transactions. It does not prepare, review, sign, or file tax returns, does not provide accounting, tax, or financial advice, and does notguarantee that any category, total, or Schedule C tag is accurate or suitable for your filing. You are responsible for reviewing and correcting your ledger.

THE SERVICE IS PROVIDED FOR INFORMATIONAL, SELF-HELP PURPOSES ONLY. LEDGERLYIS NOT A CPA FIRM, TAX-PREPARATION SERVICE, OR ACCOUNTING FIRM. THE CATEGORIZATION, SUMMARIES, AND SCHEDULE C TAGS WE PROVIDE ARE AUTOMATED SUGGESTIONS AND DO NOT CONSTITUTE TAX, ACCOUNTING, LEGAL, OR FINANCIAL ADVICE AND SHOULD NOT BE RELIED UPON AS SUCH.

We provide tools that help you organize your own records; every decision about your books and your taxes is your own. For advice specific to your situation, consult a licensed accountant, tax professional, or attorney.

By using the Service, you represent and agree that:

• You upload or connect only your own financial data, or data you are authorized to use, and any information you provide is accurate.
• You will not submit another person’s financial or identity information without their authorization and the legal right to do so.
• You will review the categorization, totals, and Schedule C tags and decide for yourself what is correct for your records and filings.
• You will use the Service only for lawful purposes and in accordance with these Terms.
• You will not reverse engineer, scrape, or attempt to access the Service’s underlying systems or data, and will not overburden or impair the Service.

The Service may include an optional Cards & Financing feature that is off by default. If you opt in, we show third-party card offers matched to your data. Any figures we display — including likelihood of qualifying and estimated credit limits — are prequalification estimates based on your own data, not offers of credit, approvals, or guarantees. Only the card issuer can approve you or set terms. We do not pull your credit, and any information you self-report is not verified. Ledgerly is not a lender, bank, broker, financial advisor, or credit-repair organization, and nothing in this feature is financial or credit advice. We may earn a referral commission if you are approved for a card through our links, at no additional cost to you; this does not affect the offers or estimates we show. You may turn the feature off at any time.

By uploading or connecting data, you consent to us processing it solely to provide the Service, as described in our Privacy Policy. You confirm you have the right to provide that data for this purpose. Uploading a new file adds to your stored history and does not remove prior transactions.

You retain ownership of the transaction data and information you provide. You grant us a limited, non-exclusive license to process that content as needed to operate the Service for you.

The Service and its original content, features, and functionality — including the categorization engine and interface — remain the exclusive property of Delvir Limited Liability Company and are protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the Service without our written permission. The ledger and exports you generate for your own records are yours to keep and use.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

LEDGERLYDOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; (B) ANY CATEGORY, TOTAL, OR SCHEDULE C TAG IS ACCURATE, COMPLETE, OR SUITABLE FOR YOUR TAX FILING; OR (C) THE SERVICE WILL DETECT OR CORRECTLY CLASSIFY EVERY TRANSACTION. WHETHER AN EXPENSE IS DEDUCTIBLE OR CORRECTLY REPORTED IS A DETERMINATION FOR YOU AND YOUR TAX PROFESSIONAL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGERLY AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, OR FOR ANY TAX, PENALTY, INTEREST, OR FILING ERROR, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL LEDGERLY'S TOTAL CUMULATIVE LIABILITY EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THE ABOVE MAY NOT FULLY APPLY TO YOU.

You agree to defend, indemnify, and hold harmless Delvir Limited Liability Company, its members, managers, employees, and contractors from any claims, liabilities, damages, losses, costs, and fees (including reasonable attorneys’ fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) any tax, accounting, or financial decision you make based on your ledger; or (d) your violation of any law or the rights of any third party.

The Service integrates with third parties, including Stripe (payments), Google (authentication), Resend (email), Plaid (optional bank connection), and, if you use Cards & Financing, card issuers and their affiliate networks. These are governed by their own terms and privacy policies, and Ledgerly is not responsible for their content, practices, or availability.

We may suspend or terminate your account and access to the Service at any time, with or without cause or notice, including for violation of these Terms or fraudulent or abusive use. Upon termination, your right to use the Service ends immediately. Provisions that by their nature should survive (including Sections 3, 9, 10, 11, 14, and 15) will survive.

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of law provisions.

Any dispute that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive or equitable relief in court for claims involving intellectual property or unauthorized use of the Service.

Class Action Waiver. Any arbitration or proceeding shall be limited to your individual dispute with Ledgerly. To the fullest extent permitted by law, you waive the right to participate in a class action or class-wide arbitration.

We may modify these Terms. For material changes we will update the effective date and version and provide notice by email or a prominent notice on the Service before the changes take effect. Your continued use after the effective date constitutes acceptance.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Delvir Limited Liability Company regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect.
